General Conditions (as defined in Chapter I, Title 3, Part 3, of Legislative Decree no. 206/2005 and subsequent amendments and additions)

1. Premise and Effectiveness of the General Conditions

These general conditions of sale (hereinafter, " General Conditions ") have as their object the purchase of products and services discipline, carried out remotely and made available, via the Internet, from the website, www.designferro.com (hereinafter, the " Site ") in compliance with Italian regulations of Legislative Decree 206/2005 and subsequent amendments and additions (hereinafter, " the Consumer Code "). The seller of the products e-mail address: info@designferro.com ( "Design Ferro"). The consumer who accesses the website to make purchases (the " Customer ") shall, before sending the order, carefully read these Terms and Conditions that have been made available on the Website and will be available at all times by the customer through the order confirmation of each link in the email to enable playback and storage. In the event that the person who makes purchases on the Site requires the invoice and / or at least is not a "Consumer or User "as defined by art. 3, paragraph 1, letter a) of the Consumer Code, will not apply to the refund or cancellation policy under Article. 7:08 of the General Conditions or, more generally, expectations that are under the Agreement shall apply only to "Consumers." The contracts concluded with Design Ferro through the Site are governed by these General Conditions in respect of the Italian legislation. The language available for concluding the contract is Italian.

2. Choose and Order Products

Characteristics and price of the various products offered on the Site (the "Product " or " Products ") are shown on each product page. To purchase the Products the Customer must complete and submit the order form in electronic format, following the instructions contained in the Site. The Customer shall add the Product to the "Shopping Cart" and after having read and accepted the Terms and Conditions and the Privacy Policy shall enter invoice and shipping information, select the desired Payment Method and confirm the order. By placing an order on the Site, which has the value of the proposed contract, the Customer acknowledges and declares to have read all the instructions provided during the purchase procedure and accept these General Terms and payment transcribed. The contract between Design Ferro and the Customer shall be concluded with the acceptance by the Design Ferro. This acceptance is communicated to the customer through an email confirmation of the order containing a reference to the General Conditions, the order number, shipping and billing information, the list of products ordered by their essential characteristics and the total price, including delivery costs. The customer will check the confirmation email and if it identifies errors in the order will have 12 hours from the receipt of this email to contact Customer Service directly from the site using the appropriate contact form accessed via the "Support" tab. After that time the order will be put in the works for shipment and will not accept changes, without prejudice to the rights of the Customer described in Article 7. Once the order has been received, Design Ferro will check the stock availability to fulfill the order. In the event that one or more products result as not available, Customer Service from Design Ferro will send timely notification via email to the Customer who, within the next 12 hours, will have the right to confirm or cancel the order. In case of failure to respond within the specified period, the order will be deemed confirmed and the products will be made available for shipping. If only a few products result available, Design Ferro will execute the order with the in stock products. In both cases, the amount relating to the missing products will be reversed immediately, depending on the chosen payment method.

3. Product Information

The information and specifications relating to the products are available with their relevant product codes on the Website. The visual representation of the Products on the Site, where available, usually corresponds to the photographic image accompanying the description. It is understood that the image of the Products has the sole purpose of presenting them for sale and may not be fully representative of their features and quality but may differ in color and size. In the case of there being differences between the image and the written product, let the description of the product always prevail.

4. Prices and Shipping

Product prices include all fees and taxes. All prices are expressed in Euro. Let it be stated that this sale was not directly by the manufacturer but through the seller".

- Cost of transportation: The transportation cost will be calculated based on the weight of items ordered · . . - International Shipments:

Shipping costs vary according to the destination country. These charges will be communicated to the customer during check-out and in any case before the purchase confirmation.

5. Payment and Invoicing

5.1 Methods:

The Customer may pay for the Products and the shipping expenses by credit card, PayPal, bank transfer, or prepaid cards.

- Credit card.

The credit card system that can be used to purchase on the Site are:

The Website does not store the customer's credit card number data information. However, thanks to the institute protected communication system of credit reporting, the customer who desires, with an appropriate option selection, can proceed with the purchase without entering their credentials again. The reference lending institution uses SSL to encrypt data transmitted between its servers and the customer browser.

- PayPal

After confirming the order, the Customer will be redirected to PayPal's site where they can make their payment with their account or using a card, also prepaid, or at least according to Paypal’s accepted payment method in compliance with the relevant conditions.

5.2 Order Invoices

If the purchase is made by a professional they will be able to request an invoice by checking the appropriate box during the order process and entering their billing information including social security number and / or VAT or tax number. In this case the invoice will be sent via email to the address indicated. The professional/company is responsible for the correct entry of invoice data and is expressly informed that, in case of failure to request the invoice when ordering, they cannot subsequently request it.

6. Transportation and Delivery

Products purchased on the Site will be delivered to the address indicated by the Customer during the purchase procedure into the "Shipping Data" field. All purchases will be delivered by courier (hereinafter,"Courier ") from Monday to Friday, except public holidays and national holidays. Design Ferro is not responsible for unforeseen delays or not attributable to it. Once the products are shipped the Customer will receive a confirmation email that will include a reference link for tracking the shipment. In any case, except in cases of unforeseeable circumstances or circumstances out of the control of Design Ferro, the products ordered will be delivered within 7-10 (seven to ten) working days from the day following that on which Design Ferro confirmed the Customer Order via special order confirmation email.

- Active delivery services in Italy: The Courier service includes two delivery attempts to the address stated in the order. After each attempt a written notice will be left. On the second unsuccessful attempt to deliver, the Courier will phone the recipient using the phone number indicated on the order to arrange for delivery. If the Customer is absent or cannot be reached the goods will be returned to the warehouse.

- Active Abroad Delivery Services: Express Courier Shipments abroad will take place with different carriers depending on the destination country so as to ensure the customer the best available rate. Countries where the service is available : Austria, Belgium, Bulgaria, Croatia, Denmark, Estonia, Finland, France,Germany, Greece, Ireland, Latvia, Lithuania, Luxembourg, Netherlands, Poland, Portugal, Monaco, UK, Czech Republic, Romania, Slovakia, Slovenia, Spain (except Canary Islands, Ceuta and Melilla), Sweden, Hungary, the United States, Canada, Australia, Japan, Hong Kong, China.

7. Refund or Cancellation

The right to refund is governed by the following conditions:

I. The law applies to the product purchased in its entirety; therefore, if the product is composed of more components or parts the refund of a single product cannot be exercised (only in its entirety).

II. In case of exercising the right to refund cancellation Design Ferro will reimburse the Customer the full amount of the returned goods as long as the product is not food, including, shipping charges, if provided within 14 days from the date of receipt of the refund notice, without prejudice, to Design Ferro to suspend payment of the refund until actual receipt of the goods. Refund will be made using the same payment method used by the Customer, unless the latter has not expressly requested a different method. In case of a bank transfer, the Buyer shall provide to the bank on which to obtain reimbursement (account owner, name and address of the bank and IBAN).

III. Also, in order to ensure that the services of the refund within the meaning of article 8, the Products must be returned in the same box in which they were received.

IV. In addition to the cases mentioned in the Introduction (Customer not Consumer and / or requiring the invoice), the refund or cancellation policy is excluded in the following cases, in accordance with art. 59 Legislative Decree 21/2014: - Packaged product orders that are clearly personalized or have certain specifications; - Product orders which are liable to deteriorate or expire rapidly; - Sealed product orders that are not suitable for return due to hygienic reasons or due to health protection or who have been unsealed after delivery. Referring to the cases of exclusion of refund or cancellation listed above, the Customer in particular, is informed and agrees that among the products that, "are liable to deteriorate or expire rapidly" fall under the category of food products (including wines, spirits and beverages) and cosmetics, since the characteristics and quality of such types of products are subject to alteration due to improper storage. Therefore, for reasons of hygiene and Customer protection, the refund or cancellation policy is applicable only for Products purchased on the Site which can be returned to Design Ferro and put back on the market without endangering the health of Consumers (such as books, gadgets for cooking utensils, etc.). In such cases of exclusion of refund or cancellation policy, Design Ferro will return to the Customer the Products purchased by charging the same shipping costs.

8. In the case of exercising the right of refund or cancellation policy According to law, the shipping for the refunded product is charged to the Customer.

9. Warranty and Product Defects

In case of lack of conformity of Products sold by Design Ferro the Customer shall immediately contact Customer Service. The sale of products is subject to the legal safeguards provided by Articles 129, 130 and 132 of the Consumer Code. The Customer is entitled to the option and subject to the type of product so permits, to replace, without charge, or offer an appropriate price reduction or termination of the contract. The customer forfeits those rights if they do not communicate to Design Ferro the defect within two months from the date on which the defect has been discovered, unless it is a product which by its nature is perishable or subject to expiration in a shorter period, in which case the defect must be reported within this reduced term.

10. Errors and Limitations of Liability

The information relating to the Products provided through the Site must be regularly updated. However, the complete absence of errors of which, therefore, Design Ferro will not be liable, except in cases of willful misconduct or gross negligence. Design Ferro reserves the right to correct any errors, inaccuracies or omissions even after it was sent an order, or to change or update information at any time without prior notice, without prejudice to the rights of the Customer under these General Conditions and of the Consumer Code. Except for willful misconduct or gross negligence, it is excluded any right of Customer to damages or approve a compensation, and any contract or tort liability for direct or indirect damages to persons and / or property, caused by lack of acceptance or avoidance, even partial , of an order. Design Ferro promotes responsible consumption of alcohol and excludes all liability bear, except malice or gross negligence, in the case of purchases made by minors under 18 years of age.

12. Law and Jurisdiction

The sales contract between the Customer and Design Ferro is concluded in Italy and regulated by Italian law. For the solution of disputes concerning the interpretation, execution or termination of these Terms and Conditions or individual purchase orders if the Customer is a consumer under the Consumer Code, it will be referred exclusively to the jurisdiction of their town of residence or domicile if located in Italian territory; in all other cases, Siena will be the only jurisdiction, any other competent court ruled. *** In accordance with article 1341 of the Civil Code, the Customer declares to have read and specifically accepted the following articles of these General Conditions: 6 (responsibility for delays in delivery), 10 (right to correct errors - disclaimers).
